Assist in the development of the Corporate Governance framework, policies and procedures, in line with overall GCS and Bank policies and procedures, and the Group’s strategy and direction.
Ensure all policies, procedures and processes are effective and aligned with legal and regulatory requirements and best practices and keep records to demonstrate implementation
Conduct periodic reviews of the governance and policy frameworks, ensuring that all regulatory requirements are identified and adequately addressed and best practices are incorporated.
Conduct periodic reviews of Board Secretarial policies and processes and make recommendations for improvement.
Review Board and Committees structure to ensure compliance (for example: Board of Directors size, composition, membership criteria, appointment, independence criteria, suspension, removal and retirement)
Monitor and ensure compliance to Board charter and Board Committee ToRs (for example: number of meetings, responsibilities, reporting).
Develop Annual Corporate Governance reports and a reporting system that is reliable and transparent across the Group.
Maintain a high-level accountability and delegated authority framework and oversee its implementation.
Assist in requirement gathering and implementation of Board Secretarial and Governance related systems, for oversight/monitoring of activities
Carry out special projects and assignments as part of the oversight function or as required by the Group.
Maintain accountability for projects allocated to Group Company Secretary and ensure timely and effective delivery of all projects.
Liaise with internal and external stakeholders for implementation of projects
Drive and support the establishment of a strong service and quality-oriented culture within the Company.

Degree in Law / Certification in Company Secretary / Corporate Governance
Proficiency in English language written and spoken.
5 - 7 years’ experience post qualification, out of which 2-3 years in Board Secretarial / Corporate Governance capacity involved in the application of corporate governance regulations, preferably in Banking Industry
Developed Knowledge in Corporate Governance (CG) practices in public joint stock companies, CG regulations, CG compliance, CG disclosures and annual reports, Policies and TORs.
Strong understanding of UAE Authorities Rules and Regulations to ensure all practices and procedures are compliant to applicable laws and regulations.
Excellent written and verbal communication skills for preparing reports, documents and presentations and communicating effectively with stakeholders.
Proficiency in word, excel, power point.
Organizational and planning abilities including work under pressure and tight deadlines.
Strong analytical/problem solving and quantitative abilities.
Excellent negotiation and influencing skills.
